在国有企业现代公司治理中,主要存在两个难点:一是如何界定国资委与董事会、董事会与经理层等各类关系;二是如何在公司治理架构和规则等形式完备的基础上,确保董事会在实际运作中真正到位并发挥作用。本文结合临沂矿业集团公司治理的试点实践,从出资人价值、战略实施、可持续发展、有效决策4个维度,介绍了临沂矿业集团“三五”治理模式的转型跨越,对于国有企业完善公司治理结构具有一定的借鉴意义。
