我国公司监事会监督不力是一个不争的事实.监事会在实现其职能过程中遇到了四大障碍:股东大会名不副实、董事会权力膨胀、监事会缺乏实际上的独立地位、监事素质普遍较低等.充分发挥监事会的职能,必须完善股东大会制度,强化监事会的权力,提高监事会的独立地位,加强监事队伍建设.
