股票是商品经济发展的产物,是社会化大生产的结晶。股票融资则是现代直接融资市场中最具代表性的融资方式,它有着其它有价证券不可比拟的优点。然而,由于种种原因,它在我国绝迹近四十年之久。时至今日,虽“股票热”悄然兴起,但人们对它仍有一种神秘感,不明其有何法律特征,影响了我国股票市场的繁荣和发展。因此,深入研究和探讨股票法律特征,对于增强人们的股票投资意识,使之正确对待股票投资,促进我国股票投资市场的繁荣和发展,无疑具有十分重要的意义。股票,是指股份公司发行的、表示投资者入股并据此作为享有一定权益的凭证。关于股票的法律特征,人们尽可以列出许多条款来,但笔者认为,最为主要的有如下几点:
Stock is the product of the development of commodity economy and is the crystallization of socialized mass production. Stock financing is the most representative financing method in the modern direct financing market. It has the advantages unmatched by other securities. However, due to various reasons, it disappeared in our country nearly four decades. Although “stock fever” has quietly risen to the present day, people still have a mysterious feeling about it. It is not clear what legal features it has, which has affected the prosperity and development of the stock market in our country. Therefore, in-depth study and discussion on the legal characteristics of the stock will undoubtedly have great significance for enhancing people’s sense of stock investment, making them correctly handle the stock investment and promoting the prosperity and development of the stock investment market in our country. Stock, refers to the issue of shares of the company, said investors shares and accordingly as a certificate of certain rights and interests. As for the legal characteristics of the stock, many items can be listed as far as possible. However, in my opinion, the most important are as follows:
