2011年2月3日,国务院发布的《关于建立外国投资者并购境内企业安全审查制度的通知》标志着我国正式建立外商投资国家安全审查制度。国家安全审查制度是一项独立的制度,重点关注相关外资并购对国防安全、国家经济稳定运行、社会基本生活秩序、涉及国家安全关键技术研发能力的影响。国家安全审查制度在我国是一个新事物,虽然《通知》及商务部的实施细则已经对该制度的实施做了较为明确的规定,但仍有一些问题亟待研究和解决,如《通知》的效力问题、审查时间的控制问题以及审查程序的公正性保证问题等。
On February 3, 2011, the “Notice on Establishing a System for the Security Review of Mergers and Acquisitions of Domestic Enterprises by Foreign Investors” promulgated by the State Council marks the formal establishment of a national security review system for foreign investment by our country. The system of censorship of national security is an independent system, with a focus on the impact of mergers and acquisitions on the national defense and security, the stable operation of the national economy, the basic social order of life and the R & D capability of key technologies involved in national security. The national security review system is a new thing in our country. Although the “Notice” and the implementation details of the Ministry of Commerce have made a clearer stipulation on the implementation of the system, some problems still need to be studied and solved urgently. For instance, the effectiveness of the “Notice” Problems, the control of examination time and the impartiality of the review process.
