完全不同于欧美的公司治理模式、迥异的市场发展环境,使得独立董事制度在被引进中国后迷失了方向,独立董事无法有效发挥其公司治理与监督作用。若要独立董事真正发挥作用,中国企业需要对源自西方的独立董事制度进行必要的修改和创新源于美国的独立董事制度,由于其执行者—独立董事,不依附于任何利益集团,可以在监督公司经营管理、提高公司绩效、保护股东权益等方面发挥更多的作用,在西方国家被认为是判断董事会独立性和公司治理结构合理性的重要标志之一。
