WTO体制的原则与功能提出了其对成员制度性影响的框架和范围。入世后中国公司法面临如何处理规则趋同性与公司法制本土化、如何平衡国内投资者与国外投资者的利益、如何协调竞争与发展的关系等新课题。本文在对比分析现行公司法存在的公司法律体系缺乏统一性、公司法与相关法之间缺乏互动机制、公司法缺乏对经营者的激励机制等局限性之后,提出了在WTO所提供的制度框架下,我国公司法在统一机制、互动机制、激励机制、实现机制和司法救济机制方面的修改建议。
The principles and functions of the WTO system put forward the framework and scope of its institutional impact on members. After the accession to the WTO, Chinese company law is facing such new topics as how to deal with the convergence of rules and the localization of corporate legal system, how to balance the interests of domestic investors and foreign investors, and how to coordinate the relationship between competition and development. After comparing the lack of unity of corporate legal system existing in the existing company law, the lack of interaction mechanism between company law and related law, and the lack of incentive mechanism for corporate law in corporate law, this paper proposes the institutional framework provided by WTO Next, our country company law in the unification mechanism, the interactive mechanism, the incentive mechanism, the realization mechanism and the judicial remedy mechanism suggestion.
