我国1979年开始经济体制改革,稳步探索有计划的商品经济在中国的运用,1986年12月颁布了企业破产法(试行);后在1991年修改民事诉讼法时补充增加了“企业法人破产还债程序”一章。但是由于诸多原因,造成我国破产立法的形式多样化、立法条文简单化,结果使得我国的破产立法在程序制度和实体制度上以及在适用上,存在难以解决的诸多问题,远不能够适应我国建立社会主义市场经济体制的客观需求。在这样的历史背景下,八届全国人大常委会立法规划正式提出重新制定破产法。以下仅就我国重新制定破产法的主要问题谈点我们个人的粗浅看法。
China started its economic restructuring in 1979, steadily explored the application of planned commodity economy in China, and issued the Enterprise Bankruptcy Law (Trial Implementation) in December 1986; later, when it amended the Civil Procedural Law in 1991, it added “ Program ”chapter. However, for many reasons, the diversification of the forms of bankruptcy legislation in our country and the simplification of the legislative provisions have resulted in many problems that are difficult to be solved in procedural and substantive systems as well as in the application of our country’s bankruptcy legislation, far from being able to adapt to the establishment of our country Objective Requirement of Socialist Market Economic System. Under such a historical background, the legislative plan of the Standing Committee of the Eighth NPC formally proposed to reformulate the bankruptcy law. The following is a brief summary of our personal opinions on the major issues concerning the reformulation of bankruptcy law in our country.
