所谓优先购买权是指在买卖过程中与买卖标的有特定法律关系的当事人在同等条件下得优先于其他购买人购得买卖标的。优先购买权是当事人的一种法定权利。优先购买权的客观存在要求出卖人在出让自己的财产或权利时必须充分尊重与出让标的有特定的法律关系的当事人的优先购买权,否则,出让行为无效。然而,拍卖作为一种特殊的交易方式奉行的根本规则是价高者得,因此,优先购买权与拍卖的矛盾便不可避免。一、我国现行法规对优先购买权的规定我国现行民事实体法明确规定了对共有人、承租人、有限公司股东的优先购买权的保护。《民法通则》第78条规定:“按份共有财产的每个共有人有权要求将自己的份额分出或者转让。但在出售时,其他共有人在同等条件下,有优先购买的权利。”最高人民法院《关于贯彻执行〈中华人民共和国民法通
