一、案情1999年9月,甲房地产公司与乙房地产公司签订《合作开发合同》,约定联合开发某房地产项目。甲公司提供土地使用权并负责办理工程前期的土地征用、房屋拆迁、居民安置、清除地面地下障碍等,使施工场地具备施工条件,负责办理合作开发手续和商品房预售许可证等。乙公司负责前期费用外的全部资金投入。合同约定利益分配方案:即部分住宅及全部店面归甲公司支配享受,部分住宅归乙公司
