现代企业制度的核心即股份制。作为一种先进的资本组织形式和公司治理模式,股份制自诞生以来已经并将继续给人类社会生产力的发展做出巨大贡献。本文拟以民国时期宁波地区永耀电力公司的股份制运作为个案研究,通过对当时永耀电力公司的资本筹集、公司治理结构、利润分配等几个方面的深入分析,来探析股份制这种先进的企业制度是如何适应生产力发展以及促进企业自身发展的。
The core of modern enterprise system is the shareholding system. As an advanced mode of capital organization and corporate governance, the shareholding system has made and will continue to make a tremendous contribution to the development of productive forces in the human society since it was born. Based on the case study of the shareholding operation of Yongyao Electric Power Company in Ningbo area during the Republic of China, this article intends to analyze the shareholding system advanced by analyzing the capital raising, corporate governance structure and profit distribution of Yongyao Power Company at that time. How to adapt the enterprise system to the development of productive forces and promote their own development.
