独立董事制度的核心在于独立董事的独立性,独立性可以说是独立董事制度能否真正发挥作用之重要因素,也可以说是独立董事制度能否成功之基础,亦即如果独立董事不能真正独立,那么独立董事制度的存在就失去了原本的意义。本文尝试以独立董事有关之法律法规为视角探讨独立董事的独立性问题。
