独立董事制度是促进公司有效治理的机制之一,是推动公司良性发展的一种管理形式。其所特有的“独立性”特征是其灵魂所在。然而从我国引进的独立董事制度的实施情况来看,独立董事的独立性明显缺失,未充分发挥制度应有的功能与作用。而独立性缺失的原因不仅存在于制度实施的具体过程也包括其所依存环境的影响。因此,本文建议从选任机制、激励机制、法律法规等方面具体完善,保证制度在我国的蓬勃发展。
Independent director system is one of the mechanisms to promote the effective governance of the company and a form of management to promote the healthy development of the company. Its unique “independence ” feature is its soul. However, judging from the implementation of the independent director system introduced in our country, the independence of independent directors is obviously lacking and the functions and functions of the system are not fully demonstrated. The reason why the lack of independence exists not only in the specific process of system implementation but also in the environment dependent on it. Therefore, this paper proposes to improve the system of selection, incentive mechanism, laws and regulations and other aspects to ensure that the system is booming in our country.
