可转换债券是指在一定期间之后，可以按规定的转换比率或转换价格转换为企业股票的债券。可转换债券是在发行公司债券的基础上，附加了一份期权，允许购买人在规定的时间内将购买的债券转换成公司的股票，具有债权性证券与权益性证券的双重性质，因而可称为混合性证券。
