文章主要研究公司雇员的忠实义务,由个案实证分析入手,提出我国公司法上公司雇员忠实义务缺位的问题。溯源传统公司法上董事、高级管理人员的忠实义务制度,分析该制度的正当性基础,进而比较现代商事实践中董事、高级管理人员与公司雇员身份职权的异同,从正反两个方向论证公司雇员承担忠实义务同样具有正当性基础。对公司雇员忠实义务的内容进行类型化分析,并提出了具体的立法建议。
The article mainly studies the loyalty obligations of the employees of the company, starts with the empirical analysis of individual cases and puts forward the question of the absence of the loyalty duty of employees in the company law of our country.
