现代企业集团中内部资本市场的形成和越来越彰显的重要地位,使内部治理问题更加复杂,也构造了公司治理的新体系。现代企业集团基于内部资本市场的公司治理,就是要解决由产权结构调整而产生的企业各利益相关群体之间的矛盾,建立一个既关注产权和控制权改革,又完善企业组织结构的多层治理机制,有效激励和约束各经营管理行为,以实现在企业内部各利益相关层级之间合理的责利分配和资源配置,满足各层级对公司价值的创造和分配的利益要求,最终达到利益的共识并建立共同的治理结构,实现公司治理优化。
