On January 21, 2012, Germany’s Aoctal - Putzmeister Holding GmbH (“Putzmeister”) and Sany Heavy Industry Co., Ltd. (“Trinity”), and CITIC Industrial Investment Fund (Hong Kong) Consultants Limited (“CITIC Industry Fund”) signed a merger agreement. Trinity partnered with CITIC Industry Fund, a minority shareholder, to acquire 100% stake in Putzmac. The transaction still need to obtain the relevant departments for approval and to meet certain conditions for the transaction, the transaction is expected to be completed in the first quarter of 2012. Bank of America Merrill Lynch acted as sole financial advisor to Sany Heavy Industry in this transaction, and Sherman Stirling & Jingtian Gongcheng Law Firm acted as SANY’s lawyer.
