外商作为隐名股东进行投资在我国外商投资领域中大量出现,也是外商投资纠纷产生的主要问题。2010年最高院出台了《最高人民法院关于审理外商投资企业纠纷案件若干问题的规定(一)》,首次对外商隐名投资做出规定,2011年最高院又出台了《最高人民法院关于适用〈中华人民共和国公司法〉若干问题的规定(三)》,明确了隐名股东的投资协议合法有效。然而,学术界和实务界对该司法解释中对外商隐名投资的规范褒贬不一。解决该问题的核心是确认外商作为隐名股东进行投资的股东资格认定以及委托投资协议效力两方面,通过对这两方面的讨论简要探析《最高人民法院关于审理外商投资企业纠纷案件若干问题的规定(一)》和《最高人民法院关于适用〈中华人民共和国公司法〉若干问题的规定(三)》中涉及外商作为隐名股东投资的相关规定。
Foreign investors investing as anonymous shareholders have appeared in a large number in the field of foreign investment in our country and are also the main problems arising from foreign investment disputes. In 2010, the Supreme People’s Court promulgated the Provisions of the Supreme People’s Court on Several Issues Concerning the Dispute Cases of Foreign-Funded Enterprises (1), which stipulated for the first time that the foreign-funded anonymous investment was made. In 2011, the Supreme People’s Court promulgated the “Provisions of the Supreme People’s Court on Applying for < Law of the People’s Republic of China on Several Issues (III) ”, it is clear that the investment agreement of dormant shareholders is legal and valid. However, academics and practitioners have mixed opinions on the norms of anonymous investment by foreign investors in this judicial interpretation. The core of the solution to this problem is to confirm the shareholders’ qualifications of foreign investors as anonymous shareholders and the effectiveness of entrustment investment agreements. Through the discussion of these two aspects, the Supreme People’s Court provides a brief analysis of “Provisions of the Supreme People’s Court on Several Issues Concerning the Trial of Disputes over Foreign-invested Enterprises (1) ”and the“ Provisions of the Supreme People’s Court on Several Issues Concerning the Application of the Company Law of the People’s Republic of China (III) ”, which deal with the relevant provisions on foreign investment as an anonymous shareholder.
