商业贿赂是指经营者以排斥竞争对手为目的,为争取交易机会,暗中给予交易对方有关人员和能够影响交易的其他相关人员以财物或其他好处的不正当竞争行为,是贿赂的一种形式,但又不同于其他贿赂形式。经营者销售或者购买商品,可以以明示方式给对方折扣,可以给中间人佣金。经营者给对方折扣、给中间人佣金的,必须如实入账。接受折扣、佣金的经营者必须如实入账。反不正当竞争法是从反不正当竞争角度规定商业贿赂的,即商业贿赂行为首先是一种不正当竞争行为。力图阐释商业贿赂行为存在的现实性,各国现状及立法对策等,分析其社会危害性,并从实践的层次提出建议。
