公司董事、监事、高级管理人员的法定任职资格的立法目的是为了对内保护公司财产的安全和股东权益,对外保障公司债权人的利益和交易安全。我国修改后的《公司法》对公司董事、监事、高级管理人员任职资格作了专章规定,取得了较大进步,但对具体任职资格的设定、不符合任职资格的法律后果、任职期间出现资格缺陷后的解任程序等问题的规定仍有不够完善之处。进一步审视相关条款的设定,区分在不同阶段不具备任职资格的董事、监事、高级管理人员行为的效力,建立相应的解任程序,对公司法的继续完善深具意义。
