我国《合同法》第四章“合同的履行”部分明确规定:当事人应当遵循诚实信用原则,根据合同的性质、目的和交易习惯履行通知、协助、保密等义务。这一条款被认为是“附随义务”规定在我国法律中的首次出现。这一备受理论界称道的规定对于完善我国的债法制度、促进交易完成、保护交易安全等具有重要意义。但是,附随义务在合同法理论上还很不成熟,缺乏系统、深入地研究,在司法实务中也遇到了不少的问题。本文拟就附随义务与其他合同义务的区别、主要形态及适用附随义务理论所应注意的问题等方面进行分析和探讨,以期抛砖引玉。
The fourth chapter of Contract Law of China stipulates clearly: The parties should abide by the principle of honesty and credit, and fulfill the obligation of notice, assistance and confidentiality according to the nature, purpose and transaction habit of the contract. This clause is considered as the first occurrence of the “accompanying obligations” provision in our law. This much-acclaimed stipulation of the academic circles is of great significance for improving our country’s debt system, facilitating the completion of transactions, and protecting trade security. However, the accompanying obligations are still immature in the theory of contract law, lack of systematic and in-depth research, and have encountered many problems in judicial practice. This article intends to analyze and discuss the differences between the accompanying obligations and other contractual obligations, the main forms and the problems that should be noticed when applying the accompanying obligations theory.
