有限责任制度作为正式制度,是一种历史现象。由无限责任制度发展到有限责任制度,是制度主体解决制度短缺、扩大制度供给以获得潜在收益的行为。大陆法系、英美法系国家的有限责任制度模式虽然各有不同,但都是社会、政治、经济、文化和上层建筑的法律制度和法律观念不断发展进化的结果。社会主义国家的有限责任制度是从资本主义国家的有限责任制度沿袭而来,并且与大陆法系各国的有限责任制度有同族关系。中国的有限责任制度与国外有着共性,在与国际惯例接轨的同时立足于中国的具体实践。对该制度,中国应顺势而为而无人为张扬或压制之必要。

With regard to this system, it is necessary for China to take advantage of the opportunity to make public or suppress it.
