根据陕西院改企建制工作总体安排部署,陕西院设计公司、西安水土保持生态环境规划设计公司于2003年1月1日起正式组建成立。1月8日和1月28日两家公司分别在西安召开了第一次股东大会,通过了公司章程、选举产生了公司董事会和监事会成员。董事会聘任了公司经理人员。这两家公司将先按实体独立运作,随后抓紧办理注册手续。同时陕西院还对咨询公司的业务做出调整,将规划业务划归咨询公司。并同意咨询公司抽调少量设计人员承担部分工程设计项目。
According to the overall plan and arrangements for the reform of Shaanxi’s state-owned enterprises, Shaanxi Design Institute and Xi’an Soil and Water Conservation Ecological Planning and Design Company were officially established on January 1, 2003. On January 8 and January 28, the two companies respectively held the first general meeting of shareholders in Xi’an, passed the articles of association and elected the board of directors and members of the board of supervisors.
