本文介绍了成都红光实业股份有限公司在建立现代企业制度过程中的有益探索:第一,积极建立公司法人治理结构,不仅注意处理好股东会、董事会、监事会以及经理层之间的关系,而且力求协调好新“三会”与老“三会”的关系。第二,通过试点,逐步实现对多元产权结构关系的科学管理,建立资产保值增值责任制以及对不同投资者平等对待等制度。第三,正确处理股份制企业的利益分配问题,增加红利分配的透明度,改进经营者的利益分配办法(试行年薪制)。
