济南四建集团总公司,被市政府列入首批建立现代企业制度的试点单位。为探索建立现代企业制度的路子,按照《公司法》的规范要求,经过紧张而又有秩序的准备工作,顺利完成了济南四建(集团)有限责任公司的改建任务,并于9月3日举行了揭牌仪式。我们进行股份制改造的主要做法: 一、股份制改建的必要性 由于受建筑产品本身固有规律的制约和国家宏观经济调整的影响,建筑市场不稳定不规范,建筑产品商品化程度低,加上拖欠工程款严重,使我公司同其他国有大中型施工企业一样,面临着生存与发展的严峻考验。近几年来,虽然我们在经营形式上采用了承包经营责任制,较好地理顺了国家、企业和职工三者之间的关系,并在一定程度上促进了企业的发展,
Jinan Sijian Group Corporation was listed among the first pilot units to establish a modern enterprise system by the municipal government. In order to explore ways to establish a modern enterprise system, in accordance with the requirements of the “Company Law”, after an intense and orderly preparation work, the reconstruction task of Jinan Sijian (Group) Co., Ltd. was successfully completed, and on September 3rd. Inauguration ceremony was held. The main practices of our shareholding system reform are as follows: 1. Necessity of joint-stock reform Due to the inherent laws of construction products and the impact of the country’s macroeconomic adjustments, the construction market is unstable and non-standard, and the degree of commercialization of construction products is low. The seriousness of the funds has made our company, like other large and medium-sized state-owned construction enterprises, face a severe test of survival and development. In recent years, although we have adopted a contract responsibility system in our business operations, we have better aligned the relations among the state, enterprises, and employees, and have, to some extent, promoted the development of the enterprise.
