内部人控制是指公司内部人员(主要是高级管理人员)掌握公司的剩余控制权或同时掌握了公司的剩余控制权和剩余索取权。内部人控制是股份公司普遍存在的现象,我国上市公司也存在内部人控制的问题。尽管内部人控制有着巨大的风险,但却并非都是有害的。本文指出应根据纳什均衡理论来分析我国上市公司内部人控制的风险,平衡内部人和所有人的利益关系,以最大限度的降低内部人控制的风险,保障所有人的权益。
Internal control refers to the company’s internal staff (mainly senior management) to grasp the company’s residual control or at the same time grasp the company’s residual control and residual claim. Internal control is a common phenomenon in joint-stock companies. Listed companies in our country also face the problem of internal control. Notwithstanding the immense risk of insider control, not all are harmful. This paper points out that according to Nash equilibrium theory, we should analyze the risks of internal control of listed companies in our country, balance the interests of insiders and all people, minimize the risk of insider control and protect the rights and interests of all.
