国有企业除了要追求利润最大化以外,还要追求社会福利最大化。在不完全竞争市场条件下,这两个目标是相互矛盾的:一方面,国有企业追求利润最大化无疑会损害公共利益,减少社会福利,体现了效率目标;另一方面,国有企业追求社会福利最大化就意味着较低的产品价格和更少的价格歧视等,体现了公平目标。本文从国有企业的双重目标入手,结合“诺斯悖论”探讨双重目标的内在矛盾,分析国有企业治理结构在受到双重目标的约束条件下而陷入创新困境,最后提出国有企业治理结构创新的政策建议,关键在于让竞争性市场配置资源起决定性作用和更好地发挥政府的作用。
