良好的经济绩效是企业生存与发展的关键,私营企业采取了种种旨在提高企业绩效的措施。其中,最为重要的举措就是引进外部人才参与企业决策,提高企业绩效。但这样的决策代理又带来一个问题:如何保证自利的外部人才拥有决策权后能够按照所有者权益最大化目标来行使决策权。不引进外部人才参与决策,企业可能被市场淘汰;引进外部人才参与决策,“逆向选择”和“道德风险”问题又无法解决。因此,私营企业处在“绩效”和“忠诚”的两难选择中,企业绩效无法得到根本性的提高。本文试图揭示这个囚徒困境问题的要源所在,并探讨提高私营企业绩效的基本思
