国有企业改革是下一步改革的重点，而面临的突出困难是企业欠银行的巨大债务问题。本文深入探讨了企业债务形成的基本原因，辨析了国家、企业、银行的不同责任，进而提出解决方略。作者指出，国家可考虑出售一些小型国有企业，出售部分国有住房和土地（全部价值在２２万亿元以上），将房产、地产由死财富变成活财富，由此可获巨额资金以解决目前国有企业债务问题。同时还就企业体制改革、银行体制改革提出了若干建议。
