股份公司制作为现代银行制度的重要内容,发源于17世纪的英国,于19世纪末20世纪初传入中国,其通过立法确立了在银行业的主体地位,并推动了中国银行制度的变革和金融业的现代转型。近代银行法为股份制建设和银行业发展提供保障的同时,也成为政府控制银行业的制度工具,造成了近代银行过于依赖政府、产权不清晰等不利后果,对新中国银行制度建设产生了消极影响。笔者认为,为进一步推进当今国有商业股份制银行改革,应树立法制先行的观念,强调以法律手段代替行政政策;破除既有法律的桎梏,优化资本法律市场和资本流通环境;评估改制的法律环境,以协调银行改制与法制变革的关系。
