一、导言全球经济越来越呈现出一体化的走向,那么作为与经济生活最为密切相关的公司法,会不会也逐渐一体化呢?的确,最近十多年来,关于全球公司治理是否正在趋同化以及如何趋同化等问题已经引起学者的高度关注和激烈争论。笔者认为,公司法一体化的问题可以细分为3个子问题:公司法正在一体化吗?公司法会一体化吗?公司法一体化的路径有哪些?在本文中,笔者将从中国公司法的视角出发探讨公司法一体化的上述问题。这些问题都很宏大,恐怕都没有简单的答案,笔者在此只能提出几点自己的粗浅看法,以抛砖引玉,求教大方。
I. INTRODUCTION As the global economy becomes more and more integrated, will it be gradually integrated as the most relevant corporate law in economic life? Indeed, in the recent decade or so, has the global corporate governance been being implemented? The problems of convergence and how to assimilate have attracted much attention and intense debate from scholars. The author believes that the problem of the integration of company law can be subdivided into three sub-problems: Is the company law integrated? The company law integration? What are the integration of company law? In this article, I will from the Chinese company law Starting from the perspective of corporate law integration of the above issues. These problems are ambitious, I am afraid there is no simple answer, I can only put forward some of their own superficial view, to start a discussion, seek generosity.
