《合同法》对于居间合同的规定寥寥数语,倾向于保护委托人的利益而加重居间人的责任。该“翘板式”不平衡的实体规定衍生出委托人“跳单”的机会主义。“案例指导1号”的出台有限弥补了该类案件的法律缺位,确认了禁止“跳单”条款的法律效力,以“利用信息”判定“跳单”违约,然而其指导作用受到了质疑。在实务中首先应该考虑是否存在独家委托,其次界定“利用”是否足以构成居间人的“居间行为”与本约缔结之间“实质性的因果关系”。如果存在多人参与居间,无法阻断“因果关系”后按照各居间人履行义务的多少来分割报酬。
