IRO在委托书征集中所采取的应是与投资者关系路演和买方推介演讲等活动相似的手段,区别只在于公司试图影响的是股东投票的结果而不是公司出售的结果。美国的股东委托书征集季节(proxy season)或许没有政治选举的精彩纷呈,但也不乏戏剧效果。需要股东投票决定的议题或许相对简单,但有时也需要他们就有争议的并购案或事关公司命运的改革等重大议题进行投票。
IRO’s solicitation should be taken in a similar way as investor relations roadshows and buyer presentations, except that the company is trying to influence the outcome of the shareholder vote rather than the sale of the company. The proxy season in the United States may not be crowded with political elections, but there is also drama. The issues that need to be voted on by shareholders may be relatively simple, but sometimes they need to be voted on major issues such as controversial mergers and acquisitions or reforms that affect the fate of the company.
