民国初年,各种中外企业股票及公债等证券在上海市场上的交易已很热门,一些著名商人也早有设立交易所机构的言论,于是工商总长刘揆一于民国二年在北京召集全国工商界巨头开会,讨论设立交易所之事,结果决议在通商要埠或商务繁盛地区酌情分设交易所。民国三年十二月底,《证券交易所法》正式公布。民国五年,孙中山先生为了筹措革命活动的经费,采纳日本朋友的建议,决定在上海开设交易所。孙中山联络了上海商界巨头虞洽卿作为交易所的发起人,租赁了四明银行楼上几间房间作为办事处,挂起“通记”
