情势变更原则,是指合同有效成立后,因不可归责于双方当事人的原因发生的客观情况的变化,致合同之基础动摇或丧失,若继续维持合同原有效力显失公平,允许变更合同内容或者解除合同的原则。2009年通过的《合同法解释二》标志着该原则在我国的确立,但其规定简单笼统而缺乏体系性。因此在制度设计上,可以把情势变更原则的适用条件划分为客观性标准与裁量性标准。此外,对于金融危机发生以来的房地产调控政策变更,要仔细判断其是否触及到合同基础,具体问题具体分析。
