市场经济繁荣的今天,传统交易模式已经难以应付市场主体的各种需求,各种交易方式大量涌现。所有权保留这种兼具买卖和债权担保性质的交易方式越来越被市场广泛采用,尤其是在大额标的物交易上,越来越多的买卖合同开始使用所有权保留这种交易模式。2012年7月1日起施行的《最高人民法院关于审理买卖合同纠纷案件适用法律问题的解释》(以下简称买卖合同司法解释)对所有权保留进行了新的规定,但是随着这种新型交易模式的广泛使用,新的问题也开始逐渐显现。本文主要从买卖合同标的物约定所有钱保留与在该物上设立担保物权发生权利冲突时的解决模式上进行探讨分析,以求在现有立法上寻求解决实际问题的途径,并希冀能够在将来可以帮助相关立法的完善。
