探讨公司重整制度的价值取向并检讨中国企业整顿制度无疑将对立法有所补益。通过对中国公司重整制度构建中的若干基本问题的论证，进而展示作者的立法蓝图。本文由五部分组成；（一）公司重整制度的价值评析；（二）中国企业整顿制度之检讨；（三）制度构建时不容忽视的一个问题；（四）中国公司重整制度的基本原则；（五）中国公司重整制度立法体例的选择；（六）中国公司重整制度的适用对象。
Discussing the value orientation of the company reorganization system and reviewing the system of reorganization of Chinese enterprises undoubtedly will bring some benefits to the legislation. Through the demonstration of some basic issues in the construction of the Chinese company reorganization system, the author’s legislative blueprint is further displayed. This article consists of five parts: (1) The value of the company’s restructuring system review; (2) The review of the Chinese enterprises to rectify the system; (3) The system construction can not be ignored; (D) The basic principles of the Chinese company restructuring system ; (5) the choice of the legislative system of the Chinese company restructuring; and (6) the applicable object of the Chinese company restructuring system.
