入选理由上汽集团并购双龙、收购韩国双龙48．92％股权早已尘埃落定,上汽与双龙的债权委员会代表朝兴银行也签署了买卖合同,据悉,收购的金额约5亿美元,它是中国的汽车集团第一次以独立身份进行跨国并购,也是上海企业到目前最大的一次“走出去”行动。这笔交易还需要获得中国政府和韩国债权银行委员会的批准,但资本市场明显对此持乐观态度,签约后,双龙的股价上涨了0．44％。按照协议,上汽集团将获得双龙汽车48．92％的股权,并将保留双龙现有的管理层和员工,以及在韩国的工厂。上汽集团还承诺今后几年将对双龙投资不少于10亿美元,以扩展产品线;而双龙汽车也会把一些核心技术如发动机制造技术等转让给上汽集团。在上汽并购双龙的过程中,双龙的工会一度采取强硬的抵触态度,但现在这一问题在协议中已基本解决。另外,有关人士曾分析,上汽集团在未来还会通过其他形式,再获得部分双龙的股权,最终达到控股的目的。有专家分析,上汽集团在2003年以117．2亿美元的销售额首次进入《财富》世界500强企业的行列;并购双龙,尤其是实现控股,将使上汽不仅获得急需的技术和短缺产品,更将获得一块不小的销售增量,从而确保上汽长期跻身世界500强的排名中。收购双龙后,上汽集团将迅速引进或直接销售双龙的汽车产品,填补自己的市场空缺;而双龙也可以借助上汽的市场通道加速进入中国市场,实现互补式的“双赢”。
