在中国的特许法规出台之前,市场上存在着随时会给特许体系带来伤害的陷阱。例如《销售与市场》“特许立法座谈会”上所说的,如果法官们用代理关系来套特许关系,那么特许公司所要负担的责任,从理论上讲就无穷无尽了。这在很大程度上将打击人们开展特许经营的积极性。参加“特许立法座谈会”的盟主就表示:如果存在这种漏洞,那我干脆不和加盟商签订特许合同了,而跟他签个经销合同算了。但如经销合同无法约束除了商品经销外,加盟商在保护盟主品牌及其他知识资产方面的权利和义务,这个体系也不能称为“特许体系”。
