合资方式是我国吸收日资的主要途径,中日合资企业既有国际台资企业的共性特征,也有基于中日投资方背景的个性特征。企业控制权之争是中日合资企业的核心问题,中日合资企业的控制权实际体现出股权控制权、决策控制权、运作控制权、研发控制权和专用性控制权等五个维度的特征。中方企业需要重点防范股权控制权、决策控制权和运作控制权向日方转移,同时利用好研发和专用性控制权。
The joint venture is the main way for our country to absorb Japanese capitals. The Sino-Japanese joint venture not only has the common features of international Taiwanese-funded enterprises, but also has the personality characteristics based on the background of Chinese and Japanese investors. The dispute over corporate control is the core issue of Sino-Japanese joint ventures. The control of Sino-Japanese joint ventures actually embodies the five dimensions of ownership control, decision-making control, operation control, R & D control and exclusive control . Chinese enterprises need to focus on preventing shareholding control, control over decision-making and operation control to the Japanese side, while making good use of R & D and exclusive control.
