监事会作为公司治理结构的重要组成部分,本应对公司财务和高级管理人员的职责履行进行监督。但是在当前公司法下监事会制度如同虚设,成为了“养老机构”。这不仅纵容了高级管理人员的违法行为,更是侵害公司和社会公众的合法权益。本文简要分析了监事会形骸化的现状和原因,并提出解决该问题的对策。
As an important part of the corporate governance structure, the supervisory board should have supervised the performance of corporate finance and senior management. However, under the current corporate law, the supervisory board system has become a “pension institution”. This not only condones the illegal acts of senior management personnel, but also infringes upon the legitimate rights and interests of the company and the public. This article briefly analyzes the status quo and reasons for the board of trustees of the board of supervisors and puts forward the countermeasures to solve the problem.
