商品房买受人对所购商品房享有50年的质保权,但投资人却可以利用决议解散制度轻易终止房地产项目公司,利用公司有限责任制度轻松逃避责任;公司终止后,房屋买受人的质保权也无法通过其他途径获得有效救济,致使房屋买受人的50年质保权落空。本文建议通过科学设置房地产项目公司的终止程序、配套相应的资金保障制度、确立相关责任人员民事责任终身制等综合手段,保障房屋买受人的质保权。
