商业秘密属知识产权的范畴,是企业的核心竞争力之一,对企业的生存发展至关重要。从近几年企业的知识产权战略实践和司法实践来看,很多企业都会通过与劳动者签订保密协议、竞业禁止协议等来防止劳动者将来离职后泄露企业商业秘密可能跟企业带来的经济损失,可是由于法律规定的模糊性和企业与劳动者在签订协议时的谈判能力不对等,导致很多企业利用其强势地位无限制地扩大保密的项目和竞业禁止的范围,严重侵犯劳动者权利,同时也没有很好地保护好企业的商业秘密。本文笔者旨在梳理这些不足的同时,提出解决这一难题的途径。
