企业集团这种现代企业联合形式在我国的出现和发展,对于优化资源配置,完善产业组织结构,发挥了巨大作用。但也要看到,企业集团还有许多问题有待我们去研究和解决。这些问题,随着改革的深入和建立现代企业制度的提出将会变得更加突出,主要有:1.怎样理解企业集团的含义?企业集团有哪些类型和模式?2.怎样正确处理好企业集团内集团公司同各成员企业的权、责、利关系,调动二个方面的积极性,提高企业集团的凝聚力?3.怎样通过贯彻《公司法》建立公司法人制度来改造和完善企业集团?4.企业集团怎样接受国家所有者的“授权经营”?怎样处理好母子公司的关系等等。 为了促进企业集团的健康发展,本刊借开辟“问题讨论”专栏之机,发表济南汽车总厂的文章,并将围绕上述问题开展“怎样办好企业集团”讨论,欢迎企业集团、成员企业、政府管理部门和理论工作者踊跃参加讨论,坦陈己见。来稿力求观点鲜明、有理有据,一般在4000字左右。
The emergence and development of corporate forms of modern enterprise alliances in China have played a significant role in optimizing the allocation of resources and improving the industrial organization structure. However, we must also realize that there are still many issues that need to be studied and resolved by the enterprise groups. These problems will become more prominent as the reforms progress and the establishment of a modern enterprise system. The main issues are: 1. How do we understand the meaning of enterprise groups? What types and models do the enterprise groups have? 2. How to properly handle enterprise groups? The relationship between the group companies and their member companies’ rights, responsibilities, and benefits mobilizes the enthusiasm of the two parties and enhances the cohesiveness of the group of companies. 3. How to transform and improve the corporate group by implementing the “Corporate Law” to establish a corporate legal person system? How does an enterprise group accept the “authorized operation” of the state owner? How do we handle the relationship between the parent company and the company. In order to promote the healthy development of enterprise groups, this publication will open up a “problem discussion” column and publish an article on Jinan Automobile General Factory. It will also discuss the issues of “how to run a good enterprise group” around the above issues, and welcomes enterprise groups and member companies. The government management department and theoretical workers enthusiastically participated in the discussion and expressed their opinions. The manuscript strives for clear and reasonable arguments, usually around 4,000 words.
