董事会与企业成功的联系日益紧密,股东对董事会透明化的强烈要求就是最好的佐证,而董事会也可以适时的清除那些“毫无作为”的股东。“高效”的董事会怎样形成的呢?作者研究发现,出人意料的是许多高盈利的企业董事会依然非常低效率。许多企业还沿用“古老”的方式选择董事会成员,吸收认为有经验和资格的相熟的朋友或亲属。然而,更好的方式不是选择最佳的董事,而是将董事会成员之间的互动转化为经济价值。董事会成员之间的互动是董事会成败的关键所在。
Boards are increasingly connected with the success of the business. The strong demand of shareholders for the transparency of the board of directors is the best evidence. The board of directors can also remove shareholders who are “without any action” in due course. How does the “efficient” board of directors emerge? The authors find that, surprisingly, many high-profit corporate boards are still very inefficient. Many businesses also follow the “old” way of choosing board members to absorb well-acquainted friends or relatives who are considered experienced and qualified. However, instead of choosing the best director, the better way is to translate the interaction between the board members into economic value. The interaction between the board members is the key to the success or failure of the board.
