公司法中的竞业禁止条款是基于维护公司利益而对高层管理人员任职期间的忠实义务加以规制,劳动合同法的竞业禁止则强调对具有商业保密义务工作者离职后一定时间内的忠实义务规定。在司法实践中,两者的竞业禁止并非完全独立存在的,经常会出现竞合或冲突的现象,对此应结合案件事实以请求权聚合的形式合理处理。
