经理是公司治理结构的核心组成部分,其在公司治理中的地位和作用无法替代。我国公司法对股份有限公司经理的职权做了相对明确的法律界定,这是我们认识经理法律地位的基础。对经理职权的界定,应当充分重视和尊重公司股东基于章程的自治需求,把对公司经理法律地位的认识建立在公司章程的基础之上。作为公司机关之一,经理在合理授权下(无论是公司章程或是股东会、董事会决议)获得的职权是其发挥价值的制度基础。我们需要一个现实和有效的制度设计,来发挥经理的积极性和作用,又不至于损害股东、债权人、其他利害相关人和社会公众的利益。
Manager is the core part of corporate governance structure, its position and role in corporate governance can not be replaced. The Company Law of our country made a relatively clear legal definition of the authority of the manager of a joint stock limited company. This is the basis for our understanding of the legal status of the manager. The definition of manager’s authority should give full consideration to and respect the autonomy needs of shareholders of the company based on the constitution, and establish the legal status of the manager as the foundation of the company’s articles of association. As one of the organs of the company, the authority that the manager obtains under the reasonable authorization (whether the articles of association or the resolutions of the shareholders’ meeting and the board of directors) is the basis of its value system. We need a realistic and effective system design to play the manager’s enthusiasm and role, without jeopardizing the interests of shareholders, creditors, other stakeholders and the general public.
