《国际商事合同通则》是国际统一私法协会制定的一套可以在世界范围内使用的相对均衡的规则体系,是一部关于国际商事贸易活动的重要规则。它借鉴和吸收了各国合同法以及以往统一合同法的精髓,融合了不同法律体系的特点。为说明这一特点,本文选取了要约撤回、撤销,合同效力、违约责任、合同履行中的艰难情形四个角度予以浅析。
The “General Principles of International Commercial Contracts” is a relatively uniform system of rules that can be used worldwide by the International Institute for the Unification of Private Law and is an important rule on international commercial activities. It draws on and absorbs the essence of the contract law in various countries and the previous uniform contract law, and integrates the characteristics of different legal systems. In order to illustrate this feature, this paper analyzes four aspects: withdrawal of offer, revocation, effectiveness of contract, liability for breach of contract and the difficult situation of contract performance.
