风险投资是高科技企业成长和科技成果产业化的重要力量。风险投资法律为风险投资发展提供保障,然而由于我国风险投资起步晚,风险投资法律存在很多问题,这会制约风险投资的发展。本文通过分析美国风险投资法律的成功经验,指出我国风险投资存在的法律障碍,从而构建适合我国风险投资发展的法律体系。
Venture capital is an important force for the growth of high-tech enterprises and the industrialization of scientific and technological achievements. Venture capital law provides protection for the development of venture capital. However, due to the late start of venture capital in our country, there are many problems in the law of venture capital, which will restrict the development of venture capital. By analyzing the successful experience of the venture capital law in the United States, this paper points out the legal obstacles existing in the venture capital in our country and constructs a legal system suitable for the development of venture capital in our country.
