拿地融资业务是房地产企业及金融机构在房地产投融资领域合作的重要业务,主要模式为房地产企业在一级土地市场竞拍拿地,金融机构进行配资。但随着一级土地市场供应愈加紧缺、土地拍卖价格持续走高,不少大型房企及金融机构开始探讨通过并购方式在二级土地市场拿地并设计相应交易模式。本文通过虚拟案例情景,设计了交易结构框架并对一些具体事项进行了交易安排,进而对该业务的操作要点进行一般性分析,旨在对该类业务的开展提供一定的理论及实践参考。
Take the financing business is the real estate business and financial institutions in the field of real estate investment and financing an important business cooperation, the main mode for the real estate business in the first-class land market bidding, financial institutions for funding. However, as the supply of primary land market became scarcer and the auction prices of land continued to rise, many large-sized housing enterprises and financial institutions began to explore ways to acquire land in the secondary land market through mergers and acquisitions and design corresponding trading modes. This article through the virtual case scenario, the design of the transaction structure framework and some specific matters of the transaction arrangements, and then the general operation of the business point of analysis, aimed at carrying out such business to provide some theoretical and practical reference.
