我国新的《企业破产法》在总结我国破产法实施的经验以及借鉴国外破产法律制度的基础上引进重整制度,并引入管理人制度,重视专业知识和社会利益。为保障重整程序的顺利进行,法律赋予管理人营业权、重整计划制定权、撤销权、债务人自营模式下的监督权等权利,并要求其承担勤勉尽职、接受监督等义务。但仍有不完善之处,规定较模糊、概括,缺乏可操作性。管理人中心主义,要求管理人职责具体明确,充分发挥其核心作用。
The new Enterprise Bankruptcy Law in our country introduced the reorganization system on the basis of summing up the experience of bankruptcy law in our country and borrowing the legal system of bankruptcy abroad, and introduced the system of manager, attaching importance to professional knowledge and social interests. In order to ensure the smooth progress of the reorganization proceedings, the law gives the administrator the right to operate, the right to formulate the reorganization plan, the right of revocation and the right of supervision under the debtor’s proprietary mode, and requires it to undertake such duties as diligence and due diligence and supervision. But there are still imperfections, the provisions are vague, generalized, lack of operability. Managerial-centrism requires managers to define their responsibilities clearly and give full play to their central role.
